Screenixx First Frames 100 – Submission Agreement

Introduction: This Submission Agreement (the “Agreement”) is a binding agreement between Digital Marx Group, LLC (d/b/a Screenixx)(“Screenixx” or “we”) and the individual or entity submitting a project(“you” or “Creator”). By submitting your audiovisual project (“Project”) to the Screenixx First Frames 100 initiative (the “Initiative”), you acknowledge that you have read and agree to this Agreement. This Agreement outlines the terms and conditions governing your submission and Screenixx’s rights and obligations regarding the Project. Please read it carefully before submitting your content.
1. Eligibility
- Minimum Age: You represent and warrant that you are at least 18 years old (and not a minor inyour jurisdiction of residence) at the time of submission. Submissions by individuals under 18 (or under the age of majority in your location) are not permitted.
- Permissible Content: You further represent that your Project does not contain any pornographic or adult content. Submissions must not be obscene, sexually explicit, or otherwise violate common standards of decency. Screenixx reserves the right to disqualify any submission that, in its sole judgment, contains prohibited content or violates any applicable laws or regulations.
- Original Works Only: You may only submit content that you own or have authorization to submit. By submitting, you confirm that you have all necessary rights to the Project and that it does not infringe or misappropriate any copyright, trademark, or other rights of any third party. (See Section 8 for additional representations and warranties regarding your content.)
2. Ownership of Content
Creator’s Ownership: You retain full ownership and intellectual property rights in and to your Project. Nothing in this Agreement transfers ownership of your Project to Screenixx. This Agreement is not a workfor-hire or sale of rights; rather, it is a license agreement. For clarity, you remain the copyright holder or authorized licensor of the content, and Screenixx will only receive certain limited rights as described below to use the Project if it is accepted into the Initiative.
3. Grant of License to Screenixx (Non-Exclusive Rights)
License Grant Upon Acceptance: If your Project is selected by Screenixx for inclusion in the First Frames 100 Initiative (an “Accepted Project”), you hereby grant Screenixx a non-exclusive, worldwide, royalty-free license to stream, publicly display, distribute, and otherwise exhibit the Accepted Project on the Screenixx platform and related services. This license also permits Screenixx to use, copy, transcode, and store the content as needed to facilitate streaming or distribution, and to make minor edits or format conversions if necessary for technical compatibility (e.g. adding platform watermarks, standardizing formats), provided no artistic content changes are made without your consent. The rights granted to Screenixx include the ability to publicize and market the Project as part of the Initiative (see Section 5 below). These rights are granted on a temporary basis as defined in the Term (Section 7) and are non-exclusive, meaning you are free to continue using or licensing your Project to others, so long as those other agreements do not conflict with the rights granted to Screenixx under this Agreement.
No Obligation to Use: You acknowledge that Screenixx’s selection of your Project for the Initiative does not guarantee any particular level of promotion or exploitation. Screenixx may decide, in its discretion, how and when to stream or feature the Project, and reserves the right not to use or exploit the Project even after acceptance (for example, if a legal issue arises or if the content is found to violate our standards). However, if your Project is not selected for the Initiative, Screenixx will not use your content in any way except for internal evaluation, and you will remain free to exploit your Project elsewhere with no obligations to Screenixx.
4. No Fees or Compensation
No Payment for Submission or Inclusion: You understand and agree that no financial compensation, royalties, or revenue sharing of any kind will be paid to you by Screenixx for your submission or, if selected, for the streaming/distribution of your Project under this Initiative. Participation in First Frames 100 is on a voluntary basis and is intended to provide exposure and promotional opportunity for independent creators, not to constitute a revenue-generating distribution deal. You acknowledge that the opportunity for your Project to be showcased on the Screenixx platform and viewed by audiences is the sole consideration for the rights granted to Screenixx under this Agreement. Screenixx is not obligated to share with you any advertising revenue or other benefit it may derive from the broadcasting or promotion of your Project. In the event that Screenixx offers future monetization or revenue-sharing programs, such opportunities would be subject to separate terms and are not covered by this Agreement.
5. Promotional Use of Project Materials
By submitting your Project, you grant Screenixx the right to use your Project’s title, the name(s) of creators, still frames or screenshots, short clips or trailers (up to a reasonable length), and other press or marketing materials you provide, for promotional, marketing, and publicity purposes related to the First Frames 100 Initiative and Screenixx’s services. This promotional license is granted on a non-exclusive, royalty-free basis and includes use in Screenixx’s websites, social media, email newsletters, press releases, sizzle reels, highlight compilations, and other advertising or promotional mediums. Screenixx will exercise these rights in a professional manner, solely to promote your Project’s participation in the Initiative or to promote Screenixx and its programs. You agree that Screenixx may use minor excerpts or still images from the Project, along with your name, likeness, and biographical information (if provided), in connection with such publicity without additional consent or compensation.
Example: Screenixx might include a screenshot or a 10-second clip of your Project in a montage video showcasing the “First Frames 100” selections, or use your Project’s title and poster image in a webpage announcement. Such uses are covered by this Agreement’s promotional license.
6. Acceptance, Selection, and Notification
No Guarantee of Acceptance: By submitting your Project, you understand that selection is competitive and not guaranteed. Screenixx, at its sole discretion, will review eligible submissions and determine which projects are accepted into the First Frames 100 Initiative. Criteria for selection may include creativity, quality, originality, technical execution, and suitability for the Screenixx platform, among other factors. All decisions regarding acceptance are made by Screenixx and/or its selection committee and are final. Screenixx is under no obligation to provide feedback or reasons for any rejection.
Notification: Screenixx will notify you of the decision on your submission. If your Project is accepted, Screenixx will contact you (using the contact information you provided at submission) with an acceptance email or letter and may require additional deliverables or information to proceed (such as high-resolution files, metadata, promotional materials, etc.). If your Project is not accepted, Screenixx will make reasonable efforts to inform you of this outcome via email or the submission portal. Please ensure your contact information remains up to date. Non-selection in this Initiative does not prevent you from submitting to future opportunities or initiatives, and Screenixx encourages you to continue creating and potentially collaborating in the future.
Rejection and Removal: If your Project is not accepted, Screenixx will not retain any distribution rights in your Project. Any files or materials you submitted may be destroyed or archived internally at Screenixx’s discretion, but will not be used or made public. If your Project is accepted but later disqualified or found to be in breach of this Agreement (for example, containing disallowed content or violating someone’s rights), Screenixx reserves the right to remove the Project from the Initiative or platform. In such case, Screenixx will notify you of the removal and the reason, and the license granted to Screenixx for your Project will terminate (except for any continuing rights needed for prior promotional use as described in Section 7 and Section 5).
7. Term of License and Termination
License Term (“Term”): For any Accepted Project, the license granted to Screenixx under this Agreement will begin on the date Screenixx accepts your Project for the First Frames 100 Initiative and will continue for one (1) year from the date your Project is first made available for streaming on the Screenixx platform, unless earlier terminated in accordance with this Agreement. This one-year period constitutes the “Term” of the distribution license. Note: It is industry standard for content licenses to last several years in many distribution deals; in contrast, this Initiative uses a shorter, temporary license term to balance exposure for creators with flexibility for future opportunities.
Extension or Renewal: Screenixx may, at its discretion, request to extend or renew the license Term beyond the initial one-year period (for example, if the Project is performing well and both parties wish to continue its availability on the platform). Any extension or renewal will be subject to your agreement and should be confirmed in writing (email suffices) between you and Screenixx, including any new terms that might apply. If no extension is agreed upon, the license will automatically expire at the end of the Term, and Screenixx will cease streaming the Project.
Creator’s Right to Terminate: You may request early termination of the license grant only in the following circumstances: (a) if Screenixx materially breaches its obligations under this Agreement and fails to cure such breach within 30 days of written notice from you; or (b) if you have a unique opportunity that requires exclusive rights (such as a distribution deal or sale of your Project’s rights to a third party), in which case you may request that Screenixx remove your Project early. Screenixx will consider such requests in good faith, but removal or early termination in case of a new exclusive opportunity may be subject to mutual agreement – we understand the importance of creator opportunities, and will not unreasonably withhold consent for early termination if it does not unduly harm Screenixx’s interests. Outside of these circumstances, you agree not to withdraw or revoke the license during the initial Term, to allow Screenixx a consistent opportunity to feature your Project. (Remember that the license here is non-exclusive, so you are free to exploit your Project elsewhere simultaneously, provided those deals do not require exclusivity that conflicts with this Agreement.)
Screenixx’s Right to Terminate or Remove: Screenixx may terminate the license and remove your Project from its platform prior to the end of the Term for any of the following reasons:
- Breach or Misrepresentation: If you materially breach this Agreement or any of your representations and warranties is or becomes untrue (e.g. it turns out you did not have rights to some content in the Project, or the content is found to violate our content standards), Screenixx may remove the Project immediately upon notice to you. In cases of breach that are curable, Screenixx may provide an opportunity to cure, but is not obligated to continue hosting the content if a breach has occurred.
- Legal or Regulatory Reasons: If Screenixx, in its sole judgment, believes that continuing to host or distribute the Project could subject Screenixx or you to legal risk or violate any law, regulation, court order, or governmental request (for example, if a third-party claim of copyright infringement or defamation is raised, or if the content is determined to be illegal in certain jurisdictions), Screenixx may suspend distribution of the Project. Screenixx will make a reasonable effort to notify you in such event and, if feasible, discuss possible resolutions (such as editing out problematic content) before permanent removal.
- Platform Policy or Technical Reasons: Screenixx may remove the Project if it is found to violate our platform policies not specifically enumerated in this Agreement (e.g. later discovery of prohibited content beyond pornographic material, such as extreme violence, hate speech, etc., that violates Screenixx’s general terms of service), or if technical issues prevent us from continuing to host it. We will notify you if such a situation arises.
- At Screenixx’s Discretion: While Screenixx’s intention is to feature Accepted Projects for the full Term, Screenixx reserves the right to remove the Project from the platform at any time in its sole discretion (for instance, if the Initiative is discontinued or the platform is shut down, or if unforeseen circumstances make continued hosting untenable). Screenixx will give you reasonable notice of any discretionary removal unrelated to a breach or legal issue. If removal occurs for reasons not caused by your breach, you will be released from the license grant, and (if applicable) Screenixx will cooperate in good faith if you seek to re-license the Project elsewhere.
Effect of Termination or Expiration: Upon termination or expiration of the license Term, Screenixx will promptly cease all public streaming or distribution of your Project. Screenixx will remove the Project from its platform (and any third-party platforms where it was authorized to be distributed as part of the Initiative) within a reasonable period, typically within 30 days of termination. Any sublicenses to affiliates or thirdparty streaming outlets (if applicable) will be ended, and Screenixx will not thereafter distribute or exploit your Project. Your ownership rights are unaffected by termination or expiration – they remain with you at all times.
However, please note that any promotional materials or content featuring your Project that were produced or disseminated during the Term (for example, a Screenixx highlight reel that included a clip of your Project, or social media posts about your Project’s screening) may continue to be used and displayed by Screenixx for archival or reference purposes. Screenixx is not obligated to remove or delete past marketing materials that featured the Project, and Screenixx may continue to use your Project’s name or imagery in historical lists of Initiative participants or portfolio presentations. Such usage will not include full streaming of your actual Project, but might include, e.g., a mention that your film was part of First Frames 100 in Year 2025, or inclusion of a still frame in a collage of past participants. The licenses granted in Section 5 (Promotional Use) shall survive as needed for this limited purpose even after the main distribution license ends.
8. Creator Representations and Warranties
By submitting your Project, you represent and warrant the following to Screenixx:
- Authority: You are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal right and capacity to enter into this Agreement. If you are submitting on behalf of a company or team, you have the authority to bind that entity and its members to these terms.
- Ownership and Rights: You are the creator and/or rightful owner of the Project, or you have obtained all necessary licenses, rights, consents, and permissions to submit the Project and to grant the license to Screenixx as set forth in this Agreement. This includes, but is not limited to, rights to all footage, audio, music, graphics, and any other content incorporated in your Project. No third party’s intellectual property rights are infringed by the Project or by the license and uses you authorize. If any third-party content is included (such as licensed music or stock footage), you have secured all rights required to allow Screenixx to stream and promote the Project.
- No Conflicting Deals: You have not entered into any agreement with a third party that would conflict with the rights you are granting to Screenixx. For example, you have not already given another platform exclusive rights that would prevent or restrict the Project’s non-exclusive appearance on Screenixx. There are no existing liens, encumbrances, or obligations that would impair Screenixx’s ability to exercise the licensed rights.
- Content Standards: The Project does not contain any material that is defamatory; pornographic or sexually explicit; hateful or inciting violence; or otherwise unlawful to publish. It also does not invade anyone’s privacy or include any content that you are under a legal obligation not to disclose. You further warrant that the Project does not include any content that violates Screenixx’s general content policies (as available on our website) or the specific Eligibility requirements stated in Section 1 of this Agreement.
- Accuracy of Information: All information you have provided to Screenixx in connection withthe submission (e.g., your contact information, the Project’s credits, runtime, and any descriptive materials) is true, accurate, and complete to the best of your knowledge. You will promptly notify Screenixx of any material errors or changes to such information.
- No Expectation of Payment: You understand and agree (as stated in Section 4) that you will not receive compensation or royalties for the submission or inclusion of your Project in this Initiative, and you hereby waive any claims for compensation or remuneration from Screenixx in connection with authorized uses of your Project under this Agreement.
- Indemnification: You agree to indemnify, defend, and hold harmless Screenixx, its parent company Digital Marx Group, LLC, and their officers, employees, partners, affiliates, and agents, from and against any and all losses, liabilities, claims, demands, damages, or expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your breach of any provision of this Agreement or any of the above representations and warranties; (b) any third-party claim that the Project (or Screenixx’s authorized use of the Project) infringes or violates that third party’s rights; or (c) any fraud, willful misconduct, or violation of law by you in connection with the Project or your dealings with Screenixx. Screenixx will promptly notify you of any such claim and allow you the opportunity to control the defense, but Screenixx reserves the right to participate through its own counsel at its own expense. This indemnity obligation will survive the termination or expiration of this Agreement.
9. Limitation of Liability; No Warranty by Screenixx
Limitation of Liability: To the maximum extent permitted by law, Screenixx’s total liability to you for any claims, costs, or damages arising out of or related to this Agreement or the Initiative shall not exceed $100 USD. In no event will Screenixx or Digital Marx Group, LLC be liable for any indirect, consequential, special, incidental, or punitive damages, or for any lost profits or lost opportunities, arising from your submission or from Screenixx’s use (or inability to use) your Project, even if we have been advised of the possibility of such damages. Screenixx provides the Submission Service and the Initiative on an “as-is” basis and makes no warranties or guarantees (express or implied) that your Project will be selected, will be viewed by any particular number of people, or will achieve any particular outcome. We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the Initiative and the handling of your content.
Acknowledgement: You understand that participating in the First Frames 100 Initiative is a competitive endeavor and that Screenixx’s platform is an evolving service. Technical issues or downtime, as well as editorial decisions by Screenixx, may affect the display or availability of your Project. While Screenixx will make good faith efforts to maximize exposure for all accepted Projects, we make no promise that your content will be continuously available or prominently featured. You agree that you will not hold Screenixx liable for the manner in which it exercises its editorial discretion in promoting content, or for any removal or termination of your Project in accordance with this Agreement.
10. Miscellaneous Provisions
- Governing Law: This Agreement and any disputes arising from it or the Initiative will be governed by and interpreted in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state or federal courts located in California (specifically, courts in the County of Los Angeles) for the resolution of any such disputes, except that Screenixx may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or enforce the terms of this Agreement.
- Independent Contractors: Your relationship with Screenixx is that of an independent content provider. Nothing in this Agreement shall be deemed to create any partnership, joint venture, employment, or agency relationship between you and Screenixx. You are not authorized to make any representations or commitments on behalf of Screenixx, and you shall be solely responsible for any taxes or liabilities associated with any benefits you receive from the Initiative (though, as noted, there are no monetary payments under this Agreement).
- Entire Agreement: This Agreement (together with any referenced Screenixx website Terms of Service or Privacy Policy applicable to submissions or use of our site) constitutes the entire agreement between you and Screenixx concerning the submission of your Project to the Initiative. It supersedes any prior or contemporaneous communications, whether written or oral, about the subject matter hereof. In the event of a conflict between this Agreement and the general Terms of Service on the Screenixx website, the terms of this Submission Agreement shall control with respect to the First Frames 100 submissions.
- Amendments: Screenixx reserves the right to modify or update this Agreement from time to time.If we make material changes, we will notify participants by email or via the submission portal. If you have already submitted a Project, the version of the Agreement in effect at the time of your submission will generally govern that submission, unless you agree to be bound by a revised version. For any new submissions, the then-current posted Agreement must be accepted at the time of submission. We encourage you to review the Submission Agreement for each new project submission.
- No Waiver: No waiver by Screenixx of any term or condition of this Agreement will be deemeda further or continuing waiver of that term or any other term. Similarly, any failure by Screenixx to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.
- Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extentpermissible and the remaining provisions of the Agreement shall remain in full force and effect. The invalid provision shall, if possible, be modified or interpreted in a manner that renders it enforceable while closest reflecting the original intentions of the parties.
