A. Introduction

These Terms and Conditions (“Terms”) apply to the First Frames 100 Initiative (“First Frames 100” or “Initiative”), the Screenixx® platform, website, and associated sites linked to Screenixx® by Digital Marx Group, LLC d/b/a Screenixx® (“Screenixx,” “Producer,” or “Company”) and its subsidiaries, affiliates, and partners. The Initiative and site are the property of Screenixx® and its licensors. By submitting to First Frames 100, you agree to these Terms. If you do not agree, do not submit.

B. Eligibility

Producer has the sole discretion to determine eligibility, which  shall be final and binding. Eligibility requirements may change at any time. Submissions that, in Screenixx’s sole discretion, may create impropriety or conflict of interest may be disqualified.

C. Submission Window & Process

Submissions open September 1, 2025 and close October 31, 2025. Submissions must be uploaded via the official Screenixx® submission portal (Typeform + Mailchimp integration). Producer reserves the right to extend the submission deadline if fewer than 100 qualified titles are accepted.

D. Selection & Evaluation

Selection into First Frames 100 is not guaranteed. All submissions will be reviewed by the Screenixx® Screening Committee using the official evaluation toolkit. Evaluation metrics are as follows:

– 75 points or higher: automatic consideration.
– 70–74 points: placed in a hold category (subject to committee consensus).
– Above 75 points (beyond the 100-title quota): placed into an overflow pool (up to 150 titles total, i.e. 100 accepted + 50 held). Final selection decisions are at the sole discretion of the Screening Committee.

E. Participation

Selected creators (“Participants”) may be required to provide additional materials (press kit, final deliverables, high-resolution files) as determined by Producer. Participants agree to participate in promotional, press, and marketing opportunities connected to the Initiative and Screenixx® platform.

Additionally, as a condition of final inclusion on the Screenixx® streaming platform, Participants must sign any additional agreements required by Producer, including but not limited to separate talent or distribution agreements. Acceptance into First Frames 100 (and any eventual distribution or streaming of a Participant’s project) is contingent upon the Participant’s execution of all such required agreements. Failure to timely sign any required agreement may result in revocation of the Participant’s selection and any associated opportunities.

F. Media Release & Publicity

By participating in the Initiative, you grant Screenixx® (Digital Marx Group, LLC) and its affiliates, licensees, successors, and assigns the irrevocable, perpetual, worldwide right to use your name, image, likeness, biographical information, and the title and any excerpts or stills from your submitted content for advertising, marketing, publicity, and promotional purposes in any and all media now known or hereafter devised, without further notice, approval, or compensation to you. You acknowledge and agree that Screenixx® may use these materials to promote First Frames 100, the Screenixx® platform, and Screenixx’s business in general. If requested, you will sign and deliver any additional documents or releases that Screenixx® deems necessary to confirm the rights granted in this Section.

G. Code of Conduct

Participants are expected to maintain professionalism and respect throughout the process. Disrespectful, discriminatory, or unethical conduct may result in disqualification at the discretion of Screenixx.

H. Intellectual Property & License Grant

Submitters retain all ownership rights to their submitted content. By submitting, you grant Screenixx® and its partners a non-exclusive, royalty-free, sublicensable, transferable license to use excerpts, images, and metadata from your project for the following purposes:

– Evaluation and selection of submissions; and
– Promotion and marketing of the Initiative, including Screenixx®

platform advertising, public relations, merchandising, publicity, and distribution.

Screenixx® will not claim ownership of your intellectual property.

I. Non-Disclosure & Confidentiality

Participants agree not to disclose confidential information about the Initiative, Screening Committee deliberations, or other participants without prior written consent from Screenixx. Screenixx® reserves the right to require Participants to sign a Non-Disclosure Agreement (NDA) as a condition of selection.

J. Non-Circumvention

Participants agree not to bypass Screenixx® to directly solicit or transact with partners, distributors, or investors introduced during the Initiative without written consent.

K. Representations & Warranties

By submitting, you represent and warrant that:

– You own the rights to, or have obtained all necessary permissions for, the project you are submitting.
– Your submission is original, does not infringe any third-party rights, and is free from any liens or legal claims.
– Your submission complies with all applicable laws and regulations.

You agree to indemnify and hold harmless Screenixx, its partners, affiliates, and representatives from any claims, liabilities, or damages arising out of your submission or any breach of the foregoing representations and warranties.

L. Notifications

Accepted, On-Hold, or Declined statuses will be communicated by November 30, 2025. All communication will be managed by the Screening Committee Communications Coordinator.

M. Termination

Screenixx® reserves the right to disqualify or remove any Participant at any time for failure to meet requirements, breach of Terms, or misconduct.

N. Equal Opportunity

Screenixx® is committed to inclusive and diverse storytelling. Discrimination or harassment of any kind is prohibited and may result in disqualification.

O. Release of Liability & Waiver of Equitable Relief

By submitting an entry or otherwise participating in First Frames 100 (the “Initiative”), you hereby release, discharge, and agree to hold harmless Screenixx® (Digital Marx Group, LLC), its subsidiaries, affiliates, partners, and each of their officers, employees, contractors, and agents (the “Released Parties”) from any and all liability, claims, damages, losses, costs, and actions of any kind arising out of or relating to any of the following:

– Your submission or the attempted submission of your project to the Initiative.
– Any technical malfunctions, failures, or issues (including lost, late, misdirected, corrupted, or otherwise unsuccessful submissions) in connection with the submission process.
– Your travel to, attendance at, or participation in any meetings, events, or activities related to the Initiative.
– Any cost, expense, or other loss incurred by you in the course of creating or submitting your project, or otherwise participating in the Initiative.
– The evaluation, review, scoring, selection, or non-selection of your submission (including any claims of alleged improper evaluation or mistakes in the selection process).
– Screenixx’s use, non-use, or display of your submission or any portion thereof, including any claim that Screenixx® misused your content or that content similar to your submission was used by Screenixx® or its affiliates.
– Any other aspect of your participation in the Initiative or any aspect of these Terms. You understand that Screenixx® and its affiliates continually develop and receive submissions of creative materials, and that many ideas or stories may be similar to one another. You waive any claim that the Released Parties have misappropriated or infringed upon any ideas or materials included in your submission, or that you are entitled to any compensation for any content developed or used by the Released Parties that might resemble your submission.

You further acknowledge and agree that any alleged damage or harm to you arising out of your submission or participation would not be irreparable and will not entitle you to seek injunctive relief or other equitable remedies. Accordingly, you waive any right to seek or obtain any form of injunctive or other equitable relief against the Released Parties, and you agree that your sole remedy for any claim or dispute arising from the Initiative or these Terms shall be limited to a claim for monetary damages.

P. Governing Law & Jurisdiction

These Terms and the Initiative shall be governed by and construed in accordance with the laws of the State of California, U.S.A., without regard to its conflict of laws principles. Screenixx® (Digital Marx Group, LLC) is headquartered in Los Angeles, California, and the First Frames 100 Initiative is offered to participants worldwide. You agree that these Terms are enforceable globally to the fullest extent permitted by law, and that all disputes or claims arising out of or relating to the Initiative or these Terms will be governed exclusively by the laws of the State of California. Subject to the arbitration provision below, you hereby consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Los Angeles County, California, for any legal action or proceeding arising out of these Terms that is not otherwise subject to arbitration.

Q. Dispute Resolution

Any dispute arising from or related to First Frames 100 shall be resolved through confidential arbitration in Los Angeles, CA, administered by JAMS, with an arbitrator experienced in entertainment law. Class actions and multi-claimant proceedings are prohibited.

R. General Provisions

Screenixx® reserves the right to amend these Terms at any time. Participation in the Initiative does not create an employment, partnership, or agency relationship between submitters and Screenixx. Any provision deemed invalid shall not affect the enforceability of the remaining provisions.

Failure to enforce any provision of these Terms by Screenixx® shall not constitute a waiver of that provision or any other provision. Except for any additional written agreements required by Screenixx® for selected Participants (such as distribution or talent agreements), these Terms constitute the entire agreement
between you and Screenixx® with respect to your submission and participation in First Frames 100, and supersede any prior or contemporaneous agreements or understandings, whether written or oral, relating to the Initiative.
